1. Acceptance of Terms

By accessing or using the NMA IT Services website and services (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Services

NMA IT Services provides AI automation, IT consulting, development, and related digital services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information when engaging our services
  • Use our services in compliance with all applicable laws and regulations
  • Not misuse, abuse, or attempt to disrupt our systems or services
  • Maintain the confidentiality of any access credentials provided

4. Intellectual Property

Our IP

All materials, software, designs, methodologies, and content provided by NMA IT Services remain our intellectual property. Clients receive a license to use deliverables for their intended business purpose.

Client IP

Any intellectual property you share with us remains yours. We do not claim ownership of your pre-existing IP.

Deliverables

Upon full payment, you own the final deliverables specifically created for you, unless otherwise agreed in writing.

5. Payment Terms

  • Fees are as agreed in your service agreement or proposal
  • Invoices are due within the payment terms specified
  • Late payments may incur additional charges
  • We reserve the right to suspend services for overdue accounts

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of engagement. This obligation survives termination of our agreement.

7. Limitation of Liability

NMA IT Services shall not be liable for indirect, incidental, or consequential damages arising from the use of our services. Our total liability is limited to the amount paid for the specific service giving rise to the claim.

8. Warranties & Disclaimer

We provide services “as is” with reasonable care and skill. We do not guarantee that our services will be uninterrupted or error-free.

9. Termination

Either party may terminate services per the terms of your service agreement. Upon termination, you must pay for all services rendered up to the termination date.

10. Third-Party Services

Our services may integrate with third-party platforms. We are not responsible for the availability, reliability, or terms of third-party services.

11. Governing Law

These terms shall be governed by the laws of the State of Maryland, United States.

12. Changes to Terms

We may update these terms at any time. Continued use after changes constitutes acceptance of the new terms.
